Edmond de Rothschild Hospitality Partners S.à r.l. (EDR HP) is a joint-venture between Boscalt Partners, S.L. and EDMOND DE ROTHSCHILD PRIVATE EQUITY S.A. EDR HP has as its objective to develop a private equity (real estate) fund platform whose aim is to (directly or indirectly) sponsor, set up, operate and manage investment funds that are active in the real estate hospitality industry.
Boscalt Partners, S.L., is a real estate private equity firm incorporated under the laws of Andorra, having its registered office at Carrer Doctor Molines 23, 6th B, Andorra la Vella, Andorra, registered with the Registre de Societats Marcantil (Andorran Registry of Merchant Companies) under number # 13,912 Book S-198 Sheets 221-230 (BOP). Edmond de Rothschild Private Equity S.A., is a public limited liability company (société anonyme) incorporated and existing under the laws of the Grand Duchy of Luxembourg, having its registered office at 11-13, rue Jean Fischbach, L-3372 Leudelange, registered with the RCS under number B186334 (EDR PE)

The Fund has been incorporated as a SICAV-RAIF, i.e., an investment company with variable capital – reserved alternative investment fund (société d’investissement à capital variable – fonds d’investissement alternatif réservé) under the form of a corporate partnership limited by shares (société en commandite par action) under the laws of the Grand Duchy of Luxembourg and subject to the Luxembourg act of 23 July 2016 relating to reserved alternative investment funds, as amended (the RAIF Act). The General Partner will be the sole unlimited shareholder of the Fund and sole managing partner and will be responsible for the management of the Fund. The Fund will not be under the prudential supervision of the Luxembourg supervisory authority.
